TOHO HOLDINGS CO., LTD. (Headquarters: Tokyo; Representative Director, President and CEO: Hiromi Edahiro; hereinafter “TOHO HOLDINGS”) is pleased to announce that it has resolved to carry out an absorption-type merger between its two wholly owned subsidiaries in the pharmaceutical wholesaling business, Kyushu Toho Co., Ltd. (Headquarters: Fukuoka; President and Representative Director: Koji Kodama; hereinafter “Kyushu Toho”) and Sky Medical Kyushu Co., Ltd. (Headquarters: Fukuoka; Chairman and Representative Director: Yoshihiko Miisho; hereinafter “Sky Medical Kyushu”), with Kyushu Toho as the surviving company.

1. Purposes of the merger

TOHO HOLDINGS is a corporate group active in the medical, nursing and healthcare fields, engaged in pharmaceutical wholesaling, dispensing pharmacy, manufacturing and sales of pharmaceuticals, and development and provision of customer support systems under the corporate slogan “Total Commitment to Good Health”. TOHO HOLDINGS also proactively promotes initiatives for regional medical collaboration, nursing and home care.
TOHO HOLDINGS has decided to carry out this merger with the aim of reorganizing the pharmaceutical wholesaling business and improving management efficiency in the Kyushu area, particularly in Fukuoka Prefecture. Through this merger, we will strive to further optimize overall management resources and strengthen the Group’s supply system, aiming to maximize corporate value.

The merger will be an absorption-type merger whereby Kyushu Toho is the surviving company and Sky Medical Kyushu will be dissolved.
